Confidential information means any non-public information disclosed by one party to the other in connection with the services, whether orally, in writing, or through any other medium, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information includes, but is not limited to, trade secrets, business strategies, technical specifications, source code, client lists, financial data, security configurations, and any personal information as defined by applicable privacy laws.
Each party agrees to use the other confidential information solely for the purpose of performing its obligations under these terms and the applicable service agreement. Neither party shall disclose the other confidential information to any third party without prior written consent, except to employees, contractors, and advisors who have a need to know and are bound by confidentiality obligations at least as protective as those contained herein.
